Appreciation award
Generally, an additional payment made after the fact to individuals in a company for special achievements, usually in connection with increasing the value of the company. – In particular, the payment made to decision-makers of the target company in mergers and acquisitions to make them willing to take over the company. Insofar as the bidder holds out the prospect of such a payment, it is difficult to draw the line between it and a bribe. However, if the acquired company pays bonuses to decision-makers (transaction bonus), it must be weighed up here to what extent this constitutes damage to the company or its shareholders in breach of fiduciary duty.
